Vantheon Terms & Conditions

1. Introduction

These Terms & Conditions (“Terms”) govern the provision of services by Vantheon Technologies (“Vantheon”, “we”, “our”, or “us”) to you or your organization (“Client”, “you”, or “your organization”). These Terms apply to all services provided by Vantheon Technologies, including but not limited to implementation, consulting, and support services, unless otherwise expressly agreed in writing in a separate agreement or Statement of Work (“SOW”). For any queries regarding these Terms, you may contact us at  marketing@vantheon.com. 

2. Scope of Services

The scope of services, deliverables, timelines, and commercials shall be as defined in the applicable Statement of Work (SOW), Technical Proposal (TP), or similar agreed document. Any item or activity not specifically included within the scope sections of the SOW shall be deemed outside the scope of engagement. Any changes in scope must be routed through a Change Request and may impact timelines and commercials.

3. Engagement Assumptions and Dependencies

Vantheon Technologies is committed to make bona fide and good faith efforts and to allocate competent resources required to complete the project as per agreed timelines. Both parties recognize and accept that completion of the project is possible only with efforts and commitment from both parties and their respective personnel. 

You agree to:

  • Arrange timely meetings with relevant stakeholders
  • Provide data, formats, and other required information
  • Respond to queries, clarifications, and confirmations in a timely manner

In case of delays arising from your actions or inactions, including failure to provide timely inputs, Vantheon Technologies reserves the right to reallocate resources to other projects.

4. Change Management

In the event that either party requests a change in specifications, requirements, or scope, a Change Request (CR) shall be initiated and mutually agreed upon. Such changes may impact the commercials and timelines of the engagement.

5. Data Migration and Cutover

As part of production go-live:

  • Only master data and open transaction data as of the agreed cut-off date will be migrated  
  • Vantheon Technologies will provide data conversion templates 

You are responsible for:

  • Data extraction from legacy systems
  • Data cleansing and transformation
  • Accuracy and reconciliation of migrated data

No detailed historical transactional data will be migrated unless explicitly agreed. Any additional data migration requirements will be evaluated separately and may incur additional costs.

6. Integrations and Third-Party Systems

Integration requirements shall be defined during the business requirements phase.

  • Any integrations beyond agreed scope will require a separate SOW or Change Request
  • Vantheon Technologies does not hold responsibility for coordination with third-party vendors
  • Any update or analysis of source systems is not within Vantheon Technologies’ scope

You agree to ensure involvement of your internal IT teams for integration readiness and testing.

7. Customizations and System Limitations

Customization requests are subject to:

  • Availability of subscribed modules and system capabilities
  • System limitations and platform constraints

Where full customization is not feasible, Vantheon Technologies may propose:

  • Workarounds
  • Manual processes
  • Changes in business processes

Any additional customization beyond agreed scope will require separate scoping, timelines, and commercials.

8. Training

Training will be provided as follows: 

Conducted for defined functional user groups

Limited to agreed sessions per function

Based on test scenarios provided by you

In absence of your test scenarios, standard scenarios will be used.

Training scope excludes:

Self-service users

New requirements or solution redesign during training

Standard NetSuite help documentation will be provided. Additional training will require separate agreement.

9. Support Services (Where Applicable)

Support services shall be governed by the applicable SOW and include: 

  • Case-based support through designated platforms
  • Remote resolution via online tools
  • Defined service levels based on priority (P1, P2, P3)

Support is subject to:

  • Defined support hours
  • Monthly or contracted hour limits
  • Scope exclusions including major customizations, new developments, or training

Unused support hours may lapse as per agreed terms. Additional hours will be billed separately.

10. Fees and Payment Terms

Fees shall be as defined in the applicable SOW.

  • Payment milestones shall be adhered to as agreed
  • Invoices must be paid within 7 days of issuance unless otherwise agreed
  • Fees are exclusive of taxes, duties, and levies

Additional costs may apply for:

  • Out-of-scope work
  • Additional support hours
  • Travel outside agreed geography
  • Onsite delivery outside standard terms

Non-payment may result in suspension of services.

11. Warranties

Vantheon Technologies warrants that:

(a) it and its personnel have the necessary knowledge, skills, experience, qualifications, rights, and resources to perform the services; and
(b) the services will be performed and delivered in a good, diligent, and workmanlike manner in accordance with industry standards and applicable laws and regulations.

12. Disclaimers

The warranties stated above are the sole and exclusive warranties offered by Vantheon Technologies.

There are no other warranties or conditions, express or implied, including without limitation:

  • Merchantability
  • Fitness for a particular purpose

All services are provided on an “as is” and “as available” basis.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Vantheon Technologies’ total liability shall be limited to the amount of fees paid for the relevant services
  • Vantheon Technologies shall not be liable for:
  • Indirect or consequential losses
  • Loss of profits, data, or business opportunities

Vantheon Technologies acts solely as an implementation/support partner. 

Any product limitations, feature gaps, or system constraints of Oracle NetSuite or other third-party systems are outside Vantheon Technologies’ responsibility.

14. Independent Contractor

Vantheon Technologies shall perform all services as an independent contractor and not as an employee or agent of your organization.

15. Confidentiality

Confidential information provided by you shall:

  • Remain your property
  • Not be disclosed by Vantheon Technologies during or after the engagement

This obligation shall survive termination of the engagement.

16. Client Responsibilities

You agree to:

  • Assign a dedicated project team or “Champion Team”
  • Provide access to premises, systems, and stakeholders
  • Review deliverables within three (3) business days or as agreed

Failure to provide feedback within the specified timeline shall constitute deemed acceptance of deliverables.

17. Use of Client Name and Marketing Rights

You agree that Vantheon Technologies may:

  • Use your organization’s name and logo for case studies and marketing
  • Reference the engagement in marketing materials
  • Share professional contact details for reference purposes

Vantheon Technologies may also send communications such as newsletters or surveys. You may opt out at any time by contacting marketing@vantheon.com or using unsubscribe options where available.

18. Data Protection

You agree that Vantheon Technologies may process your data for:

  • Delivery of services
  • Client relationship management
  • Quality and risk management

Vantheon Technologies will process such data only on lawful instructions and in accordance with applicable data protection laws in the United Arab Emirates and relevant jurisdictions.

19. Privacy Policy

Your use of Vantheon Technologies’ website and services is also governed by our Privacy Policy, which explains how we collect, use, process, and protect your personal data.

20. Non-Solicitation

During the term of engagement and for 36 months after termination, neither party shall solicit or hire employees of the other party.

21. Termination

Either party may terminate the engagement as per agreed contractual terms. All outstanding payments shall become immediately due upon termination.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the Courts of Dubai.

23. Validity and Forward-Looking Statements

Any proposals, estimates, or forward-looking statements are based on information available at the time and may be subject to change. Clients are advised to make decisions based on features and services currently available.

24. Updates

Vantheon Technologies reserves the right to update these Terms from time to time. Updated versions will be published on the website.
