These Terms & Conditions (“Terms”) govern the provision of services by Vantheon Technologies (“Vantheon”, “we”, “our”, or “us”) to you or your organization (“Client”, “you”, or “your organization”). These Terms apply to all services provided by Vantheon Technologies, including but not limited to implementation, consulting, and support services, unless otherwise expressly agreed in writing in a separate agreement or Statement of Work (“SOW”). The scope of services, deliverables, timelines, and commercials shall be as defined in the applicable Statement of Work (SOW), Technical Proposal (TP), or similar agreed document. Any item or activity not specifically included within the scope sections of the SOW shall be deemed outside the scope of engagement. Any changes in scope must be routed through a Change Request and may impact timelines and commercials.
Vantheon Technologies is committed to make bona fide and good faith efforts and to allocate competent resources required to complete the project as per agreed timelines. Both parties recognize and accept that completion of the project is possible only with efforts and commitment from both parties and their respective personnel.

In case of delays arising from your actions or inactions, including failure to provide timely inputs, Vantheon Technologies reserves the right to reallocate resources to other projects.
In the event that either party requests a change in specifications, requirements, or scope, a Change Request (CR) shall be initiated and mutually agreed upon. Such changes may impact the commercials and timelines of the engagement.
As part of production go-live:
You are responsible for:
No detailed historical transactional data will be migrated unless explicitly agreed. Any additional data migration requirements will be evaluated separately and may incur additional costs.
Integration requirements shall be defined during the business requirements phase.
You agree to ensure involvement of your internal IT teams for integration readiness and testing.
Customization requests are subject to:
Where full customization is not feasible, Vantheon Technologies may propose:
Any additional customization beyond agreed scope will require separate scoping, timelines, and commercials.
Training will be provided as follows:
Conducted for defined functional user groups
Limited to agreed sessions per function
Based on test scenarios provided by you
In absence of your test scenarios, standard scenarios will be used.
Training scope excludes:
Self-service users
New requirements or solution redesign during training
Standard NetSuite help documentation will be provided. Additional training will require separate agreement.
Support services shall be governed by the applicable SOW and include:
Support is subject to:
Unused support hours may lapse as per agreed terms. Additional hours will be billed separately.
Fees shall be as defined in the applicable SOW.
Additional costs may apply for:
Non-payment may result in suspension of services.
Vantheon Technologies warrants that:
(a) it and its personnel have the necessary knowledge, skills, experience, qualifications, rights, and resources to perform the services; and
(b) the services will be performed and delivered in a good, diligent, and workmanlike manner in accordance with industry standards and applicable laws and regulations.
The warranties stated above are the sole and exclusive warranties offered by Vantheon Technologies.
There are no other warranties or conditions, express or implied, including without limitation:
All services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law:
Vantheon Technologies acts solely as an implementation/support partner.
Any product limitations, feature gaps, or system constraints of Oracle NetSuite or other third-party systems are outside Vantheon Technologies’ responsibility.
Vantheon Technologies shall perform all services as an independent contractor and not as an employee or agent of your organization.
Confidential information provided by you shall:

Failure to provide feedback within the specified timeline shall constitute deemed acceptance of deliverables.

You agree that Vantheon Technologies may process your data for:
Vantheon Technologies will process such data only on lawful instructions and in accordance with applicable data protection laws in the United Arab Emirates and relevant jurisdictions.
Your use of Vantheon Technologies’ website and services is also governed by our Privacy Policy, which explains how we collect, use, process, and protect your personal data.

During the term of engagement and for 36 months after termination, neither party shall solicit or hire employees of the other party.
Either party may terminate the engagement as per agreed contractual terms. All outstanding payments shall become immediately due upon termination.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the Courts of Dubai.
Any proposals, estimates, or forward-looking statements are based on information available at the time and may be subject to change. Clients are advised to make decisions based on features and services currently available.
Vantheon Technologies reserves the right to update these Terms from time to time. Updated versions will be published on the website.
